AGRA - AGRA is a digital platform built on the website with the domain address http://www.agra.global, designed for users who wish to sell and buy their own or others' agricultural and other products. These General Terms and Conditions govern the use of AGRA by users.
4 AGRA - '4 AGRA' Ltd. is the company managing AGRA, which is a trader-party to these General Terms and Conditions.
User - any natural person who uses any of the functionalities of AGRA. Users of AGRA are solely natural persons who use the platform in a personal capacity or solely in the hypotheses specified in these General Terms and Conditions, in their capacity as legal representatives of legal entities.
General Terms and Conditions - these General Terms and Conditions for using AGRA, which include terms of use, registration rules, personal data protection, user rights, and other conditions included in this document.
Personal Data - information about a natural person that reveals their physical, psychological, mental, family, economic, cultural, or social identity.
Registration and User Identification
1.1. The functionalities of AGRA can only be accessed by registered users of AGRA. Registered users are those who have created their user profile and use it through the implemented multi-step user identification procedure.
1.2. 4 AGRA may identify users of the website by storing log files on the site's server. The terms for processing users' personal data are available in the Privacy Policy section.
1.3. In the registration form completed by the User during registration, 4 AGRA specifies whether providing data is mandatory or voluntary and the consequences of refusing to provide such data.
1.4. Users can register by completing the relevant online registration form available in real-time on AGRA. This action should be accompanied by the explicit acceptance of these general terms and conditions.
1.5. By pressing the virtual button labeled "registration" or other similar text, or alternatively by ticking a box for explicit acceptance, having the force of written confirmation of the general terms, the user makes an electronic statement in the sense of the Electronic Document and Electronic Signature Act. With this statement, the user declares that they have read and accepted the general terms and undertakes to comply with them. 4 AGRA may store the user's IP address in log files on its server, along with any other information necessary for user identification and the reproduction of the user's electronic statement of acceptance in the event of a legal dispute. The text of the general terms is accessible on AGRA in a manner that allows for storage and reproduction.
1.6. When completing the registration form, the user must provide complete and accurate personal information as required by the electronic form on AGRA and must update this information within 7 days of any changes. The user declares that they agree to provide the required personal data and guarantees that the data provided during the registration process is true, complete, and accurate. In the event of providing false information, 4 AGRA has the right to terminate or immediately suspend the provision of services to registered users.
1.7. Part of AGRA's content is accessible to unregistered users, and these general terms apply to such users to the extent that it is not exclusively related to registered users.
1.8. 4 AGRA implements a procedure available to registered users on AGRA for reporting the existence of user profiles with invalid or incorrect data. Upon receiving a report of invalid or incorrect data, 4 AGRA has the right to require the user to verify their identity by providing an electronic copy of an identification document. If the user fails to provide the necessary document, 4 AGRA has the right to delete the user profile and to terminate the user's access to AGRA functionalities for registered users.
1.9. During the operation of the procedure mentioned in the previous point, 4 AGRA has the right to temporarily suspend the user's access to the user profile and limit the user's visibility on AGRA, which is the subject of the report of incorrect data, until the accuracy of the data is finally established.
1.10. By registering on AGRA, each user agrees to receive notifications, including commercial messages, from 4 AGRA or other users of AGRA. The user agrees that the email provided during registration is intended for commercial correspondence and should not be considered personal data within the meaning of the Personal Data Protection Act. Each user can manage the notifications they receive, including opting out of them entirely through their user profile.
1.11. By registering on AGRA, each user agrees that 4 AGRA may advertise, as it deems appropriate, the name of the brand under which it operates, the name of its business page, and its web address. The user agrees that the brand under which they operate, the name of their business page, and the link to it can be used for marketing purposes.
Procedure for Transitioning to a Business Plan
2.1. Registered users of AGRA gain access to the functionalities available to users with a free usage plan. Full access to AGRA functionalities for individuals is presented to users who complete the procedure implemented by 4 AGRA for transitioning to a business plan, as outlined in this section of the general terms.
2.2. The procedure for transitioning to a business plan on AGRA aims to verify the seriousness of the respective user and to enter into a subscription agreement for access to AGRA functionalities for business plan users.
2.3. The procedure for transitioning to a business plan can be initiated by a registered user through the management of their user profile from the AGRA interface. By initiating the procedure for transitioning to a business plan, the user agrees to the clauses of the general terms governing the provision of access to AGRA functionalities for business plan users.
2.4. By initiating the procedure for transitioning to a business plan, the user makes a declaration regarding the conclusion of a contract for access to services for business plan users in accordance with the general terms. To complete the procedure for transitioning to a business plan, the user must pay the annual access fee for business plan users specified on AGRA through a bank transfer. The price of the subscription fee for a business plan is provided on AGRA, including VAT, in cases where it is charged.
2.5. The bank transfer should be made in the name of the user as an individual. The transfer details (payment order) should be suitable for establishing the user's identity, namely by containing their full name, which should fully correspond to the names provided by the user during the registration process on AGRA.
2.6. Upon verification of 4 AGRA's bank account with the transfer made by the user as part of the procedure for transitioning to a business plan, 4 AGRA checks the transfer details and, if there is compliance between these details and those recorded in the user's profile, grants the user access to the functionalities for business plan users for a period of 1 year.
2.7. Upon the expiration of the period mentioned in the previous point, if the user wishes to continue using access to functionalities for business plan users, the user must repeat the procedure for transitioning to a business plan. The rule in this clause applies repeatedly and without a time limit, and the subscription fee for business plan users may be subject to changes by 4 AGRA. The current value of the fee will always be available on AGRA.
Functionalities of AGRA
3.1. The functionalities of AGRA are divided into those for unregistered users, registered users, and registered users with a business plan.
3.2. Unregistered users are users who have not completed the registration procedure in accordance with section 1.1 and the following terms of the general conditions. Unregistered users can use the following functionalities of AGRA:
- Access to the web pages of AGRA with free access.
- Registration to acquire the status of a registered user.
3.3. Registered users with a free usage plan have the right to access the following functionalities of AGRA:
- Creating and maintaining a user profile.
- Presenting a public profile on AGRA, accessible to other registered users.
- The possibility to create a business profile in accordance with the general conditions for business profiles.
- The ability to view public profiles of registered users and business profiles on AGRA without access to contact information from the respective profiles and business profiles.
- The ability to manage automatic system notifications (notifications) for selected events in AGRA.
- The ability to use the AGRA interface to send messages to business users; when using this feature, the recipient of the message will be informed that they are communicating with a user with a free usage plan.
- Other functionalities that, at the discretion of 4 AGRA, can be provided for permanent or temporary use by users with a free usage plan.
3.4. Users with a business plan have the right to access the following functionalities of AGRA:
- All functionalities accessible to users under the previous point.
- Automatic marking in their own user profile, confirming the user's business status.
- The ability to view the contact details of all registered users and business profiles on AGRA.
- The ability to leave public reviews for other users on AGRA.
- Enhanced search and filtering functionalities for users and business users on AGRA.
- Other functionalities that, at the discretion of 4 AGRA, can be provided for permanent or temporary use by users with a business plan.
3.5. Registered users on AGRA are required, through the AGRA interface, to create their business profiles. Business profiles are profiles of legal entities or agricultural producers, the creation of which must be carried out in accordance with the general conditions for creating and managing business profiles on AGRA. The user is obliged to provide up-to-date information in their business profile and update it in a timely manner when changes occur.
3.6. Business profiles can be created by companies, organizations, and individuals engaged in freelance professions, operating in sectors related to agriculture, farming, and animal husbandry. In the absence of explicit criteria described on AGRA for the eligibility of registered users concerning the activities they pursue, 4 AGRA has the right to permit or restrict access to AGRA, at its discretion, for users whose activities are not closely related to the platform's purpose.
Update of AGRA Functionalities
4.1. By accepting these general conditions, the user agrees that AGRA is a platform in the process of development. 4 AGRA provides access only to the functionalities specified in these general conditions while reserving the right to change the way they function and to add new features for registered users.
4.2. To the extent that marketing and other public materials presenting the actions of AGRA include functionalities that are not available in AGRA at the time of the user's acceptance of these general terms, the user accepts that these functionalities are in the process of being implemented in AGRA by 4 AGRA, and their implementation will occur at a future time according to the discretion of 4 AGRA.
4.3. 4 AGRA reserves the right to decide whether new functionalities of AGRA will be implemented with the right of access by registered users or will be solely available to those with a business plan.
Right to Refuse Subscription for Business Plan Users
5.1. A user who has initiated the procedure to switch to a business plan through the AGRA interface may withdraw from the subscription agreement by sending written notice to Agra 4 at the contacts specified in these general terms. The withdrawal from the agreement can be made no later than the moment when the user gains access to the functionalities for business plan users. From that moment, the parties consider that the service, the subject of the subscription agreement, has already begun to be performed, and the user's right to withdraw from the agreement is extinguished.
5.2. When lawfully exercising the right to withdraw from the agreement in accordance with the provisions of the previous section, 4 AGRA is required to refund the fee paid by the user. The costs related to receiving the transfer and the reverse order to the user shall be borne by the user and shall be deducted from the refundable fee.
Responsibility of 4 AGRA and AGRA Users
6.1. 4 AGRA makes no representations or warranties regarding the condition or functionality of AGRA, including the functionalities of the platform, or access to it. When using AGRA, users are aware that the platform is in a development stage, which presupposes the existence of errors and accessibility issues with all functionalities. 4 AGRA provides no warranties and accepts no responsibility for the existence of errors in the functionalities or access issues not resulting from the actions or inaction of 4 AGRA.

6.2. By using AGRA, users assume all risks associated with it, including any risks to end-user devices, software, or user data. 4 AGRA accepts no responsibility for any damages, including direct or missed profits, resulting from the use of AGRA.
6.3. 4 AGRA reserves the right to discontinue access to the services provided. When exercising this right, 4 AGRA is required to refund to business plan users the portion of the subscription fee that corresponds proportionally to the remaining period of the user's paid subscription. 4 AGRA has the right, but not the obligation, at its discretion to delete information resources and materials published on its website.
6.4. Each user is required to use AGRA in good faith and in accordance with the platform's intended purpose as described in the same, as well as within the framework of these general terms.
6.5. AGRA users are liable to 4 AGRA and other AGRA users for all damages, whether direct or indirect, suffered due to the wrongful actions of a user in AGRA.
6.6. When using AGRA, each user is obliged to comply with the provisions of Bulgarian legislation.
6.7. AGRA users are prohibited from using the platform's functionalities for direct marketing and advertising, outside of what is permissible through the AGRA interface, namely, using their own trade name and brand, posting offers for the purchase and sale of raw materials, goods, materials, and services as provided in the AGRA interface. Communication through AGRA's communication module with other users that goes beyond the commercially accepted boundaries is not allowed. The use of insults, defamation, false claims, and spam is expressly prohibited.
6.8. Any user who believes that another user is not complying with the rules for using AGRA, as well as the provisions of Bulgarian legislation, may report the actions of another user within the platform to 4 AGRA. 4 AGRA has the right, in the event of a signal from a user in the context of this point, to review the communication between users and, at its discretion, to temporarily or permanently suspend access for the user to certain functionalities or even the user's profile in AGRA for non-compliance with these general terms.

7.1. Intellectual Property
- The intellectual property rights to all materials and resources available on AGRA (including available databases) are protected under the Copyright and Related Rights Act and belong to 4 AGRA or to the respective designated party that has granted the right to use AGRA. These rights cannot be used in violation of the applicable legislation.
7.2. When copying or reproducing information beyond what is permissible, as well as in case of any other violation of intellectual property rights regarding AGRA resources, 4 AGRA has the right to claim compensation for both direct and indirect damages suffered in full.
7.3. Unless explicitly agreed otherwise, the User may not reproduce, modify, delete, publish, distribute, or otherwise disclose the information resources published on AGRA.
8.1. Termination and Amendment
- 4 AGRA has the right, at its discretion, without prior notice, to unilaterally terminate the user's access to AGRA if it determines that the provided services are being used in violation of these general terms, the legislation of the Republic of Bulgaria, and generally accepted moral norms.
8.2. Except as provided in these General Terms, the contract between the parties is terminated when 4 AGRA ceases its activity or discontinues the maintenance of its website.
8.3. The parties declare that if any of the clauses of these General Terms is found to be invalid, it will not invalidate the entire contract or other parts of it. The invalid clause will be replaced by the mandatory provisions of the law or established practice.
8.4. 4 AGRA is obligated to notify users of any changes to these general terms within a 7-day period from the occurrence of such circumstances to the email address provided by the user.
8.5. When not in agreement with the changes in the general terms, the user has the right to terminate the contract without stating a reason and without being liable for compensation or penalty. To exercise this right, the user should notify 4 AGRA within one month of receiving the message from the previous point.
8.6. In case the user does not exercise the right to terminate the contract according to the procedures specified in these general terms, it is considered that the changes have been accepted by the user without objections.

Application of General Terms on AGRA to Business Users:
1.1. These general terms apply to AGRA users who wish to register a business profile on the platform.
1.2. For the purposes of interpreting these general terms, business users are natural and legal persons who wish to use AGRA's functionalities for business users in accordance with AGRA's general terms. Below, in these general terms, they will be referred to as "business users."
1.3. Unless otherwise provided in these general terms, the general terms of AGRA apply subsidiarily to the relationships governed by them. The clauses of these general terms for business users take precedence over any clauses in AGRA's general terms that contradict them.
1.4. For the purposes of these general terms, they will be referred to as "General Terms for Business Users," and the general terms for using AGRA listed in the preceding points, which apply subsidiarily, will be referred to as "General Terms for Standard Users."
Registration and Identification of Business Users:
2.1. AGRA's functionalities provided for business users can only be accessed by registered business users on AGRA. Business users are registered, the representatives of whom have created a user profile for the respective organization and use it through the implemented multiple user identification procedure.
2.2. Profiles of business users can only be created by the legal representatives of the respective legal entities or, when an individual acts in a personal capacity, by the individual themselves.
2.3. The registration and identification procedure for business users should follow the relevant rules provided in AGRA's general terms for standard users.
2.4. By clicking the virtual button labeled "registration" or other similar text, or alternatively by checking the box expressly accepting, with the force of a written confirmation of the general terms, the user electronically makes a statement within the meaning of the Electronic Document and Electronic Signature Act, declaring that they are familiar with the general terms, accept them, and are obliged to abide by them. 4 AGRA may store the user's IP address and any other information necessary for their identification and the reproduction of their electronic statement accepting the general terms in the event of a legal dispute. The text of the general terms is accessible on AGRA in a way that allows it to be stored and reproduced.
2.5. When filling out the registration application, the user is required to provide complete and accurate information regarding the legal entity they represent, as well as regarding their representational authority, or if the business user is an individual, they should provide complete and accurate personal information and other information required by AGRA's electronic form. Business users should update the data in their profiles within 7 days of any changes. In the event of providing incorrect data, 4 AGRA has the right to terminate or immediately suspend the provision of services to registered users without prior notice.
2.6. 4 AGRA implements a procedure on AGRA accessible to registered users in accordance with the general terms for standard users to signal the existence of user profiles of business users with invalid or incorrect data. Upon receiving a signal about invalid or incorrect data, 4 AGRA has the right to require the user to verify their identity or representational authority by providing an electronic copy of an identity document and other necessary documents that can reliably verify their representational authority. If the business user fails to provide the necessary documents, 4 AGRA has the right to delete the user profile and terminate the user's access to AGRA's functionalities for registered users.
2.7. During the duration of the procedure specified in the preceding section, 4 AGRA has the right to temporarily suspend the access of the business user who has registered a user profile, as well as to restrict their visibility in AGRA, which is the subject of a signal for incorrect data, until the veracity of the data is definitively established.
Procedure for Switching to the Business Plan:
3.1. Business users registered on AGRA gain access to the functionalities available to users on the free plan of use. Full access to AGRA's functionalities for individuals is presented to users who complete the procedure for switching to the business plan implemented by 4 AGRA, which is the subject of this section of the general terms.
3.2. The procedure for switching to the business plan for business users applies the relevant clauses from the general terms for standard users.
Functionalities of AGRA for Business Users:
4.1. The functionalities of AGRA for business users are divided into those for users on the free plan and those for users on the business plan.
4.2. Business users on the free plan have the right to access the following functionalities of AGRA:
- Creating and maintaining a user profile.
- Presenting a public profile on AGRA accessible to other registered users.
- The ability to view public profiles of registered users and business profiles on AGRA without access to contact details from these profiles.
- The ability to manage automatic system notifications (notifications) for events selected by the user in AGRA.
- Using the AGRA interface to send messages to business users, and when using this functionality, the message recipient will be notified that they are communicating with a user on the free plan.
- The ability to publish information about raw materials, materials, goods, and services that the respective business user is looking to buy or offer for sale.
- Other functionalities that may be provided permanently or temporarily to users on the free plan at the discretion of 4 AGRA.
4.3. Business users on the business plan have the right to access the following functionalities of AGRA:
- All functionalities accessible to users as mentioned in the previous point.
- Automatic confirmation in their own business user profile confirming the business status of the user.
- The ability to view contact details of all registered users and business profiles on AGRA.
- The ability to leave public reviews for other users on AGRA.
- Enhanced search and filtering functionalities for users and business users on AGRA.
- Other functionalities that may be provided permanently or temporarily to users using the business plan at the discretion of 4 AGRA.
Updating AGRA's Functionalities:
5.1. By accepting these general terms, the business user agrees that AGRA is a platform that is under development. 4 AGRA provides access only to the functionalities specified in these general terms and reserves the right to change the way these functionalities operate, as well as to add new functionalities for registered users.
5.2. To the extent that marketing and other public materials that present the operation of AGRA include functionalities that are not available on AGRA at the time of the user's acceptance of these general terms, the user agrees that these functionalities are in the process of being implemented on AGRA by 4 AGRA, and their implementation should occur at a future date according to the discretion of 4 AGRA.
5.3. 4 AGRA reserves the right to decide whether new functionalities of AGRA will be implemented with access for users on the free plan, or if they will only be available to users on the business plan.
Cancellation Right for Business Plan Subscribers:
6.1. The rules for contract cancellation provided in the general terms for standard users do not apply to business users. Business users of AGRA do not have the right to cancel the contract as provided in the Consumer Protection Act.
Responsibility of 4 AGRA and AGRA Users:
7.1. With respect to the limitation of AGRA's liability, the relevant clauses of the general terms for standard users apply, including clause 6.1 and the following clauses.
7.2. When using AGRA, every business user is obliged to comply with the provisions of Bulgarian legislation, as well as to use the functionalities of AGRA with the care of a good trader, following customary good commercial practices in their dealings, including pre-contractual and contractual relations, with other users of AGRA.
7.3. Business users of AGRA are prohibited from using the platform's functionalities for direct marketing and advertising outside of what is permitted by AGRA's interface, which includes using their own business name and brand, publishing offers to buy or sell raw materials, goods, materials, and services in accordance with what is provided in AGRA's interface. Communication through AGRA's communication module with other users that goes beyond the normal boundaries of commercial relations practiced is not allowed. The use of insults, defamation, false claims, and spam is expressly prohibited.
7.4. Any user who believes that another business user is not adhering to the rules for using AGRA or the provisions of Bulgarian legislation may send a report to 4 AGRA regarding the actions of the respective business user on the platform. 4 AGRA has the right, in the event of a report from a user in the context of this clause, to review the communication between users and, at its discretion, temporarily or completely suspend the access of the respective business user to certain functionalities or their profile in AGRA due to non-compliance with these general terms.
Intellectual Property:
8.1. When using their user profiles, business users have the right to use their trademarks and other objects of intellectual property only to the extent that the user has the right to use them in their business activities.
8.2. Business users should indemnify 4 AGRA for all direct and indirect damages incurred by the company in connection with content used by the respective user that infringes on third-party rights to the relevant industrial and intellectual property.
Termination and Modification:
9.1. 4 AGRA has the right, at its discretion, without prior notice, to unilaterally terminate a business user's access to AGRA if it determines that the services provided are being used in violation of these general terms, the legislation in the Republic of Bulgaria, and customary good commercial practices.
9.2. In addition to the cases provided in these General Terms, the contract between the parties is terminated when the activities of 4 AGRA are discontinued or the maintenance of its website is terminated.
9.3. The parties declare that, in the event that any clause(s) in these General Terms is/are found to be invalid, it shall not invalidate the entire contract or other parts thereof. The invalid clause shall be replaced by the imperative norms of the law or established practice.
9.4. 4 AGRA is obliged to inform users of any changes in these general terms within 7 days of the occurrence of such circumstance, to the email address provided by the user.
9.5. When not in agreement with the changes in the general terms, the user has the right to terminate the contract without stating a reason and without owing compensation or penalty. To exercise this right, the user must notify 4 AGRA within one month of receiving the message in the previous clause. This right in this clause only applies to the extent that the changes in the general terms provide less favorable conditions for the user than the conditions in effect before the change. When exercising the right to terminate, the user should specify the specific changes that provide less favorable conditions for them.
9.6. If the user does not exercise their right to terminate the contract as described in these general terms, it is considered that the changes have been accepted by the user without objections.
Applicable Law:
10. For all matters not covered by these General Terms, the provisions of the current legislation of the Republic of Bulgaria shall apply.
